1. Sponsor

The Late Night Epiphanies Giveaway (the "Giveaway") is sponsored by Late Night Epiphanies LLC, a Delaware limited liability company (the "Sponsor").

2. No Purchase Necessary

No purchase or payment of any kind is necessary to enter or win this Giveaway. A purchase will not increase your chances of winning.

3. Giveaway Period

The Giveaway begins on Thursday, December 5, 2024, at 12:00 AM EST and ends on Wednesday, December 11, 2024, at 11:59 PM EST (the "Giveaway Period"). Entries submitted before or after the Giveaway Period will not be eligible.

4. Eligibility

The Giveaway is open only to individuals who:

• Are legal residents of the United States and physically residing in the United States at the time of entry and when prizes are awarded.
• Are at least 18 years of age at the time of entry.

The following individuals are not eligible to participate:

• Employees, officers, and directors of the Sponsor, their affiliates, advertising and promotional agencies, and their immediate family members or household members.
• Individuals residing in jurisdictions where the Giveaway is prohibited by law, including Rhode Island, U.S. territories, and overseas military installations.

The Sponsor reserves the right to verify the eligibility of all entrants.

5. How to Enter

To enter, participants must:

1. Visit the Sponsor's website during the Giveaway Period and complete the official Giveaway entry form (https://latenightepiphanies.com/pages/stickers).
2. Provide their email address and agree to subscribe to the Late Night Epiphanies email newsletter.

Each participant is limited to one (1) entry. Duplicate entries will result in disqualification. Incomplete entries will not be accepted.

6. Prize

Five (5) winners will each receive a set of five (5) Late Night Epiphanies vinyl stickers for use on phones or computers (the "Prize"). The approximate retail value of each prize is $20 USD.

Prizes are non-transferable, non-refundable, and cannot be redeemed for cash. The Sponsor reserves the right to substitute the prize with an item of equal or greater value if necessary.

Prizes will be shipped to the winners within 14 business days of receiving their valid shipping address.

7. Winner Selection and Notification

Five (5) winners will be selected at random using a computer-generated selection process verified for fairness on December 12, 2024. Odds of winning depend on the total number of eligible entries received.

Winners will be notified via email on December 12, 2024. They must respond within 24 hours with their full name and valid U.S. shipping address. Failure to respond within this timeframe will result in forfeiture of the prize, and an alternate winner may be selected.

The winners' may also be announced on the Sponsor’s social media channels and website, including the Sponsor’s Instagram Story, on December 12, 2024.

8. Eligibility Verification

The Sponsor reserves the right to request proof of eligibility, including but not limited to proof of age and residency, from any winner. Failure to provide such proof upon request may result in disqualification and selection of an alternate winner.

9. Limitation of Liability

By participating in the Giveaway, entrants release and hold harmless the Sponsor, its affiliates, officers, employees, and agents (collectively, the "Released Parties") from and against any claims, damages, or liabilities arising out of or related to participation in the Giveaway, the awarding or use of any prize, or any technical errors.

The Released Parties are not responsible for:

• Late, lost, incomplete, or misdirected entries.
• Technical errors, hardware/software failures, or network interruptions.
• Any injury or damage to participants or their property as a result of participation.
• Any damage, loss, or misuse of the Prize after it has been shipped to the winner.

10. Publicity

By entering the Giveaway, participants consent to the use of their name, email, Instagram handle, likeness, and prize information for advertising, promotional, and publicity purposes by the Sponsor without additional compensation, unless prohibited by law.

11. Privacy

Participants' personal information will be collected, processed, and used in accordance with the Sponsor’s Privacy Policy. By entering, participants agree to receive email communications from the Sponsor and acknowledge they have read and accepted the Privacy Policy.

12. General Conditions

The Sponsor reserves the right to:

• Disqualify individuals who tamper with the entry process or violate these Terms and Conditions.
• Disqualify any individual who provides false information or submits multiple entries.
• Cancel, suspend, or modify the Giveaway in the event of fraud, technical issues, or other circumstances beyond its control.

Any attempt to deliberately damage the Sponsor's website or undermine the legitimate operation of the Giveaway may result in legal action.

13. Force Majeure

The Sponsor is not responsible for delays, cancellations, or interruptions due to events beyond its reasonable control, including but not limited to natural disasters or government restrictions.

14. Dispute Resolution

Any disputes arising under these Terms and Conditions will be governed by the laws of the State of Delaware, without regard to conflict of law principles. Participants agree to resolve any claims individually, without resort to class action, and waive their right to seek punitive, incidental, or consequential damages.

15. Winners List

To request the names of the Giveaway winners, send a self-addressed, stamped envelope to:
Late Night Epiphanies LLC, 628 Belmont Crest Dr SE, Marietta, GA 30067. Requests must be received no later than three (3) months after the end of the Giveaway Period.

16. Void Where Prohibited

The Giveaway is void in jurisdictions where prohibited by law, including Rhode Island, U.S. territories, and overseas military installations.
